Job Title: Legal Counsel
Job Location: Hummelstown, PA.
Job Duration: Permanent position, Full time, Mon – Fri, 40 hours per week.
Number of Positions: 1 Opening.
Job Description: Integrate legal functions. Provide counsel on structuring, negotiating & closing of investment/capital raising/financing transactions, corporate governance matters, vetting of potential partner companies & manage SPVs/fund vehicles. Draft & negotiate full suite of contracts, including technology, content licensing, vendor/purchase/joint venture agreements. Ensure & track regulatory & data privacy/protection compliance. Assist with dispute resolution.
Education and experience required: JD or its foreign equivalent. Must be admitted to practice as an Attorney At Law in State of New York. Prior work experience must include 2 years experience in the job offered or as an Attorney At Law or Associate Attorney. Prior work experience must include 2 years experience in negotiating & closing of investment/capital raising/financing transactions & manage SPVs/fund vehicles. Draft technology, content licensing, vendor agreements. Ensure regulatory & data privacy/protection compliance.
